Nothing in these Bylaws is to be construed as to be contrary to the IEEEBylaws, Constitution and Policy Procedures.
ARTICLE I - Name and Territory
Sec. 1
This organization shall be known as the Albuquerque Section of the Institute ofElectrical and Electronic Engineers, Inc.
Sec. 2
The territory of the Albuquerque Section, as approved by the Regional ActivitiesBoard, includes the following New Mexico counties:
Bernalillo McKinley Socorro Catron Quay Torrance Cibola Sandoval Valencia DeBaca San Juan Guadalupe Santa Fe* * only Stanley, 87056 and Edgewood, 87015
ARTICLE II - Officers
Sec. 1
The officers of the Section shall be the Section Chair, Vice Chair/Chair-elect,Secretary, and Treasurer.
Sec. 2
The Vice Chair/Chair-elect, Secretary, and Treasurer shall be elected. The ViceChair/Chair-elect shall assume the duties and position of Chair upon completionof his/her term.
Sec. 3
The terms of office of the Section Chair, Vice Chair/Chair-elect, Secretary andTreasurer shall be for one (1) year.
Sec. 4
Terms of office will begin on January 1 of each year, but in any case theoutgoing officers will continue until their successors are duly elected and takeoffice.
Sec. 5
The consecutive period of service in any one office shall not exceed three (3)years except when the extension and written reasons have been approved by theRegional Director and the Regional Activities Board.
Sec. 6
Any vacancy occurring during the year shall be filled by a majority vote of theSection Executive Committee, with the Vice Chair automatically succeeding theSection Chair.
Sec. 7
The duties of the elected officers shall be as described in the IEEE/RAB Bylaws,RAB Operations Manual, or published interpretation of policy.
ARTICLE III - Standing Committee
Sec. 1
The Standing Committees of the Section will be as follows:
Awards Educational Activities Professional Activities Newsletter EditorStudent Activities Membership Development
Sec. 2
The Chairs of the Standing Committees will be appointed by the Section Chairwith the approval of the Section Executive Committee, and their terms willexpire on December 31.
Sec. 3
Each Committee Chair will appoint his/her committee members with the approval ofthe Section Executive Committee, and their terms will expire on December 31.
Sec. 4
Duties of the Standing Committees will be generally as described in IEEEResource Officer Orientation Training (ROOT).
ARTICLE IV - Management
Sec. 1
The management of the Section shall be by the Section Executive Committee.Voting members of the Committee shall consist of the elected officers.Non-voting members of the Committee shall consist of the Chairs of the StandingCommittees, the Chairs of the Chapters or Joint Chapters assigned to the Sectionfor management, the President of the local Student Branch and the PreviousSection Chair. The Chair may appoint, subject to a majority vote of the SectionExecutive Committee, additional voting members of the Section ExecutiveCommittee from the Section membership.
Sec. 2
A majority of the voting members of the Section Executive Committee shallconstitute a quorum.
Sec. 3
A quorum shall be necessary to conduct the business of the Section.
Sec. 4
Meetings of the Section Executive Committee ordinarily will be held monthly andwill be called by the Section Chair or by a request of any three members of theSection Executive Committee.
Sec. 5
The fiscal year of the Section shall be January 1 to December 31.
ARTICLE V - Nomination and Election of Officers
Sec. 1
A Nominating Committee consisting of at least three members shall be appointedby a quorum of the Section Executive Committee.
Sec. 2
The Nominating Committee shall submit the names of at least one, but preferablytwo or more, candidates for each elective office.
Sec. 3
No member of the Section shall be nominated to the same Section office for morethan three (3) consecutive full terms of office. No member shall be nominatedfor an elective office in the Section if he/she has held an elective office foreach of the five (5) years preceding the year for which nominations are beingmade. Members of the Nominating Committee cannot be nominated for an electiveoffice.
Sec. 4
Nominations for new Section Officers will be announced to the Section membershipand, following this, a minimum of twenty-eight (28) days allowed for additionalnominations by petition. To be valid, the petition must be signed by fifteen(15) or more voting members.
Sec. 5
The election will be made at the Annual Meeting or by ballot mailed to themembership with the vote counted by a Tellers Committee appointed by the SectionChair.
Sec. 6
The timetable for this procedure is as follows:
October 1 Announcement of Nominations November 1 Close Nominations byPetition December 1 Hold Election
The Section Chair shall report the roster of Executive Committee members tothe Regional Activities Department within 20 days of election or appointment.
Sec. 7
A plurality of the votes cast shall be necessary for election.
ARTICLE VI - Business Meeting
Sec. 1
In order to transact business at a Section meeting, at least twenty (20) membersmust be present to constitute a quorum.
ARTICLE VII - Finances
Sec. 1
All expenditures of Section funds must be approved by a vote of the SectionExecutive Committee.
Sec. 2
Funds within the Section, from whatever source derived, are the property of theIEEE and shall not be used for purposes other than the normal operations of theSection as defined in the IEEE/RAB Bylaws or published interpretation of thepolicy, without prior authorization of RAB, unless otherwise provided.
Sec. 3
The Treasurer shall be authorized to draw funds as approved by the SectionExecutive Committee.
ARTICLE VIII - Amendments
Sec. 1
Proposals for amendments to these Bylaws may originate in the Section ExecutiveCommittee or by a petition signed by fifteen (15) or more voting members.
Sec. 2
Amendments to or revocation of these Bylaws shall be in accordance with theIEEE/RAB Bylaws, RAB Operations Manual and published interpretation of policy.
ARTICLE IX - Section and Chapter Relationship
Sec. 1
The Section shall promote the establishment of Chapter and/or Joint Chapters andprovide administrative and financial management of them after formation.
Sec. 2
The responsibilities of the Section to the Chapter or Joint Chapter shall be inaccordance with IEEE Bylaws and these Bylaws.

ARTICLE X - Publications
Sec. 1
The Section shall publish a newsletter named The Downlink, which shall be themajor medium of communication within the Section membership. Sec. 2 Thenewsletter shall be distributed to all Section members and as required by theIEEE Bylaws. Distribution may also be made to non-members if, in the judgment ofthe Section Executive Committee, such distribution will further the aims andobjectives of the Section as defined by the Bylaws.
Sec. 3
Paid political advertisements, whether related to an IEEE or any other office,are not allowed.
