Amendments to Constitution and Bylaws

The Professional Communication Society Administrative Committee (AdCom) approved a change to the Society’s Bylaws on 6 November 2008 that reduced the number of AdCom members at large from 18 to 15. This change took effect immediately.

The Professional Communication Society AdCom approved several changed to the Society’s Constitution and Bylaws to bring these documents into compliance with the laws of the State of New York, where IEEE is incorporated. The major effects of these changes are as follows:

  • Specifies that the chair of the nominating committee shall be the immediate past president of the Society and that two-thirds of the committee shall be nominated or elected by AdCom.
  • Provides a formal mechanism for nomination by petition.
  • Allows removal of appointed official by a two-thirds vote of the AdCom and removal of elected official by two-thirds vote of AdCom or by majority vote of members if 10% of members petition for the official’s removal.
  • Describes a process for conflict resolution.
  • Provides processes for taking action without face-to-face meetings of the AdCom or Society committees.

These changes were approved by the AdCom on 6 November 2008 and 6 February 2009, and were approved by the IEEE Technical Activities Board (TAB) at its meeting on 13-14 February 2009. The amendments will take effect on 15 June unless 5% of PCS members of IEEE Member grade and above object by post to the TAB secretary ( ) by 15 May 2009.
