EASTERN CANADA COUNCIL BYLAWS

In the following, the Council means the Eastern Canada Council.

Dans la présente, le Conseil signifie le Conseil de l’est du Canada.

In the following, IEEE means the Institute of Electrical and Electronics Engineers, Inc. The organization IEEE-Canada acts as Region 7 of the IEEE, which this Council is part of.

Dans la présente, IEEE signifie “the Institute of Electrical and Electronics Engineers, Inc.”. L’organisation IEEE-Canada agit à titre de Région 7 de l’IEEE, dont ce Conseil fait partie.

In all instances, the Institute of Electrical and Electronics Engineers (IEEE) Bylaws, Constitution and the IEEE Policy and Procedures Manual will prevail when there is a conflict between these documents and Council Bylaws. As well, these Bylaws shall be consistent with the IEEE Canada (Region 7) Bylaws. Unless otherwise noted in Council Bylaws, the IEEE Regional Activities Board (RAB) Operations Manual will prevail.

Dans tous les cas, les “Institute of Electrical and Electronics Engineers (IEEE) Bylaws”, sa Constitution ainsi que le “IEEE Policy and Procedures Manual” prévaudront lorsqu’il y aura un conflit entre ces documents et les présents Arrêtés du Conseil. De plus, les présents Arrêtés doivent être en accord avec les “IEEE Canada (Region 7) Bylaws”. A moins d’indication contraire dans ces Arrêtés du Conseil, le “IEEE Regional Activities Board (RAB) Operations Manual” prévaudra.

Both the English and French version of the Eastern Canada Council Bylaws have to be approved and both will be official.

Les versions anglaises et françaises des Arrêtés du Conseil de l’est du Canada doivent être approuvées et les deux seront officielles.

In the case of a discrepancy between the English and the French version of these Bylaws, any decision or action is postponed and referred to the Council Executive Committee.

En cas de contradiction entre les versions anglaises et françaises de ces Arrêtés, toute décision ou action est reportée et référée au Comité exécutif du Conseil.

In these Council Bylaws, the male gender is used without discrimination and only to lighten the text.

Dans ces arrêtés de Conseil, le genre masculin est employé sans discrimination et uniquement pour alléger le texte.

ARTICLE I - Name and Territory / Nom et territoire

Section 1

The following designations represent this organization and are equivalent:

Section 2

The territory of the Eastern Canada Council, as approved by the Regional Activities Board, includes the territory of the following IEEE Sections:

- Canadian Atlantic - Montreal - New Brunswick - Newfoundland & Labrador - Ottawa - Quebec - Saint Maurice

ARTICLE II – Officers / Officiers

Section 1

The elected officers of the Eastern Canada Council shall be a Chair, a Vice-Chair, a Treasurer and a Secretary.

Les officiers élus du Conseil de l’est du Canada sont un président, un vice-président, un trésorier et un secrétaire.

Section 2

The terms of office of the elected officers shall be for 2 years, for a maximum of 2 consecutive mandates.

La durée du mandat des officiers élus doit être de 2 ans, pour un maximum de 2 mandats consécutifs.

Section 3

Terms of office will begin on January 1^st of even numbered years. Outgoing officers will stay in office until their successors are duly elected and take office.

Les mandats débuteront le 1^er janvier des années paires. Les officiers sortants occuperont leur poste jusqu’à ce que leurs successeurs soient élus en bonne et due forme et entrent en fonction.

Section 4

Any vacancy occurring during the term of office shall be filled by a majority vote of the Council Executive Committee (ref: Article V, Section 1).

Le remplaçant à un poste devenu vacant en cours de mandat sera nommé par l’entremise d’un vote majoritaire du Comité exécutif du Conseil (cf: Article V, Section 1).

Section 5

The duties of the elected officers shall be as described in the IEEE Bylaws and IEEE Regional Activities Board Operations Manual.

Les fonctions des officiers élus seront telles que décrites dans le “IEEE Bylaws” ainsi que dans le “IEEE Regional Activities Board Operations Manual”.

Section 6

The Council Chair shall be an IEEE member of at least Senior Member or Fellow grade.

Le président du Conseil doit être un membre de l’IEEE ayant au moins le grade de Membre Sénior ou “ Fellow ”.

Section 7

After completing one mandate as a Council Chair, that officer becomes Council Past-Chair for the following term of office. For voting purposes, the position of Council Past-Chair shall be deemed to be equivalent to that of an elected officer of the Council.

Après avoir complété un mandat en tant que président du Conseil, cet officier devient président sortant du Conseil pour le mandat suivant. Pour fins de vote, le poste de président sortant doit être considéré comme étant équivalent à celui d’un officier élu du Conseil.

ARTICLE III – Council Committee / Comité du Conseil

Section 1

The Council Committee shall act as the governing body of the Council, which shall consist of the Chair of every Section comprised in the Council or his representative endorsed officially by the Section, the elected officers (ref: Article II, Section 1), the Council Past-Chair (ref: Article II, Section 7) and the Chair of every Standing Committee of the Council (ref: Article IV).

La direction du Conseil sera assurée par le Comité du Conseil, lequel est formé par les présidents de toutes les sections comprises par le Conseil ou leur représentant officiellement nommé par leur section, les officiers élus (cf: Article II, Section 1), le président sortant du Conseil (cf: Article II, Section 7) ainsi que les présidents de tous les comités permanents du Conseil (cf: Article IV).

The number of voting members elected must be greater than the number of appointed voting members.

Le nombre de membres votants élus doit être supérieur au nombre de membres votants nommés.

Section 2

One third of the Council Committee (ref: Article III, Section 1) shall constitute a quorum, provided that the number of Section Chairs or their representatives, added to the number of elected officers of the Council, is at least one greater than the number of non-elected delegates.

Le quorum sera constitué par le tiers des membres du Comité du Conseil (cf: Article III, Section 1), à condition que le nombre de présidents de sections ou leurs représentants, additionné au nombre d’officiers élus du Conseil soit supérieur au nombre de délégués non-élus.

Section 3

At least a third of the Council Committee (ref: Article III, Section 1) must be present for the conduct of business, provided that at least half of the Sections comprised in the Council have a representative present.

La présence d’au moins le tiers des membres du Comité du Conseil (cf: Article III, Section 1) est requise pour que celui-ci puisse prendre des décisions, pourvu qu’au moins la moitié des sections comprises par le Conseil aient un représentant présent.

Section 4

When a quorum is not present, or when there is not sufficient time to call a meeting of the Council Committee, the Council Chair may submit any decision item to all members of the Council Committee for mail ballot (including secure electronic mail and fax). Approval by the majority of the Council committee members shall authorize the item(s) proposed in a mail ballot.

Lorsqu’un quorum n’est pas présent, ou lorsqu’il n’y a pas suffisamment de temps pour convoquer une réunion du Comité du Conseil, le président du Conseil peut soumettre tout élément décisionnel à tous les membres du Comité du Conseil pour un vote postal (pouvant inclure le courrier électronique sécurisé et le télécopieur). L’approbation par la majorité des membres du Comité du Conseil autorisera l’(les) item(s) proposé(s) pour le vote postal.

Section 5

At least one regular Council meeting shall be held during each fiscal year. A Council Meeting could be called by the Council Chair or by a request of at least any three members of the Council Committee.

Les membres du Comité du Conseil doivent tenir au moins une réunion régulière du Conseil par année fiscale. Une réunion de Conseil peut être convoquée par le président du Conseil ou par au moins trois des membres du Comité du Conseil.

Section 6

Notice of a Council Committee meeting shall be given at least 30 days in advance of the meeting.

Une convocation à une réunion du Comité du Conseil sera transmise au moins 30 jours avant la réunion.

Section 7

The Council Chair shall vote on an issue only when it changes the outcome.

Le président du Conseil ne doit voter sur un point que lorsque cela modifie le résultat du vote.

Section 8

The vote of each member of the Council Committee shall count as one vote only, regardless of the number of positions they hold.

Les membres du Comité du Conseil n’auront droit qu’à un vote chacun, peu importe le nombre de postes qu’ils occupent.

ARTICLE IV - Standing Committees / Comités permanents

The Standing Committees of the Council may include, but are not restricted to:

Section 2

The Chairs of the Standing Committees will be appointed by the Council Chair with the approval of the Council Executive Committee, and their terms will expire on December 31^st.

Les présidents des comités permanents seront nommés par le président du Conseil avec l’approbation du Comité exécutif du Conseil, et leur mandat viendra à échéance le 31 décembre.

Section 3

Each Committee Chair will appoint his Committee members, with the approval of the Council Executive Committee, and their terms will expire on December 31^st.

Chaque président de comité nommera les membres de son comité, avec l’approbation du Comité exécutif du Conseil, et leurs mandats viendront à échéance le 31 décembre.

Section 4

Duties of the Standing Committees will be essentially as described in the IEEE Bylaws and in the IEEE Regional Activities Board Operations Manual.

Les fonctions des comités permanents seront essentiellement telles que décrites dans le “IEEE Bylaws” ainsi que dans le “IEEE Regional Activities Board Operations Manual”.

ARTICLE V – Management / Gestion

Section 1

The management of the Council shall be by the Council Executive Committee, which shall consist of the elected officers (ref: Article II, Section 1) and the Council Past-Chair.

La gestion du Conseil sera assurée par le Comité exécutif du Conseil, qui doit comprendre les officiers élus (cf: Article II, Section 1) et le président sortant du Conseil.

Section 2

A majority of the Council Executive Committee (ref: Article V, Section 1) must be present for the conduct of business.

La présence de la majorité des membres du Comité exécutif du Conseil (cf: Article V, Section 1) est requise pour que celui-ci puisse prendre des décisions.

Section 3

Meetings of the Council Executive Committee ordinarily will be held at least twice a year and called by the Council Chair or by a request of at least any two members of the Council Executive Committee.

Les membres du Comité exécutif du Conseil tiendront habituellement au moins deux réunions par année à la demande du président du Conseil ou d’au moins deux des membres du Comité exécutif du Conseil.

Section 4

The vote of each member of the Council Executive Committee shall count as one vote only, regardless of the number of positions they hold.

Les membres du Comité exécutif du Conseil n’auront droit qu’à un vote chacun, peu importe le nombre de postes qu’ils occupent.

Section 5

The fiscal year of the Council shall be from January 1^st to December 31^st.

L’année financière du Conseil s’étendra du 1^er janvier au 31 décembre.

ARTICLE VI - Nomination and Election of Officers / Nomination et élection des officiers

Section 1

A Nominations Committee consisting of three (3) members, not then an elected officer of the Council (ref: Article II, Section 1), shall be appointed by the Council Chair with the approval of the Council Executive Committee.

Un Comité de nominations composé de trois (3) membres, n’étant pas alors un officier élu du Conseil (cf: Article II, Section 1), sera nommé par le président du Conseil avec l’approbation du Comité exécutif du Conseil.

Section 2

The voting members shall be the Chair of every Section comprised in the Council or his representative appointed officially by the Section.

Les membres votants sont les présidents de toutes les sections comprises par le Conseil ou leur représentant officiellement nommé par la Section.

Section 3

At least three months prior to the date of the election, the Nominating Committee shall issue through an appropriate medium a “Call for Nominations” for all positions to be elected.

Au moins trois mois avant la date des élections, le Comité de nominations doit émettre via un médium approprié un appel de candidatures pour tous les postes en élection.

Section 4

Voting members must submit nominations within thirty days after the “Call for Nominations”.

Les membres votants doivent soumettre les nominations dans les trente jours suivant l’appel de candidatures.

Section 5

The Nominating Committee must verify the candidate’s eligibility and willingness to serve; it shall also gather position statements and biographies of the potential candidates, as appropriate.

Le Comité de nominations doit vérifier l’éligibilité et l’intérêt des candidats à servir; il doit aussi rassembler les textes de présentation et les biographies des candidats potentiels, tel qu’approprié.

Section 6

The entire slate of candidates shall be communicated to the voting members of the Council not less than two weeks prior to the election date.

La liste des candidats doit être transmise aux membres votants du Conseil au moins deux semaines avant la date des élections.

Section 7

The Nominating Committee shall normally act as the Tellers Committee. The Council Chair should appoint the Tellers Committee, which consists of three (3) members, with the approval of the Council Executive Committee.

Le Comité de nominations doit normalement agir comme Comité de scrutin. Le président du Conseil doit nommer le Comité de scrutin, lequel est composé de trois (3) membres, avec l’approbation du Comité exécutif du Conseil.

Section 8

If only one nomination is made for a given office, the corresponding Officer is elected by acclamation. If additional nominations are made, election will be by secret ballot (which may be electronic), mailed (or emailed) to the Council voting members with the vote counted by the Tellers Committee (ref: Article VI, Section 7).

Si une seule candidature est proposée pour un poste donné, le candidat sera alors élu par acclamation. Si d’autres mises en candidatures sont présentées, l’élection aura lieu par scrutin (qui peut être électronique); les bulletins de vote seront envoyés aux membres votants par la poste (ou par courrier électronique) et le Comité de scrutin (cf: Article VI, Section 7) procédera au dépouillement.

Section 9

The timetable for this procedure is as follows: · Announcement of Nominations : November 1^st · Hold election if necessary : November 15^th · If required, a ballot shall be sent prior to : December 1^st

L’échéancier pour cette procédure est le suivant: · Annonce des candidatures : 1^er novembre · Tenue de l’élection si nécessaire : 15 novembre · Si requis, envoi des bulletins de vote avant le : 1^er décembre

Section 10

A plurality of the votes cast shall be sufficient for election by ballot.

Une majorité des votes exprimés sera suffisante pour une élection par bulletin de vote.

ARTICLE VII – Finances / Finances

Section 1

All disbursements of Council funds must be approved by the Council Chair or the Council Treasurer.

Toutes les sorties de fonds du Conseil doivent être approuvées par le président ou le trésorier du Conseil.

Section 2

Without prior authorization of the IEEE Executive Committee, Council funds can be used only for normal operations of the Council.

Sans l’autorisation préalable du Comité exécutif de l’IEEE, les fonds du Conseil ne peuvent être utilisés que pour les opérations habituelles du Conseil.

Section 3

The Treasurer and the Chair shall be authorized to draw funds as approved by the Council Executive Committee.

Le trésorier et le président seront autorisés à retirer des fonds tel qu’approuvé par le Comité exécutif du Conseil.

ARTICLE VIII – Amendments / Amendements

Section 1

Proposals for amendments to these Bylaws may originate in the Council Executive Committee or by a petition signed by 25% or more of the voting members.

Les propositions d’amendements à ces Arrêtés peuvent être présentés par le Comité exécutif du Conseil ou par une pétition signée par 25% ou plus des membres votants.

Section 2

Amendments to or revocation of these Bylaws shall be in accordance with the IEEE Bylaws.

Les amendements apportés à ces Arrêtés ou leur abrogation doivent être effectués conformément aux “IEEE Bylaws”.

Section 3

Amendments to these Bylaws must be approved by a favourable vote of 2/3 of the Council voting Members, provided notice is sent at least 20 days prior to the date set for the meeting at which the vote is taken.

Les amendements apportés à ces Arrêtés doivent être approuvés par un vote favorable de 2/3 des membres votants du Conseil, pourvu qu’un avis soit envoyé au moins 20 jours avant la date fixée pour l’assemblée à laquelle le vote aura lieu.
