BYLAWS OF THE CLUB

ARTICLE I - NAME AND TERRITORY

Section 1: This organization shall be known as the IEEE EMB Student Club of IIT Kharagpur.
Section 2: The territory of the Club resides with the geographical limits of the Kharagpur Section of the Institution of Electrical and Electronics Engineers Inc.
Section 3: The Club shall have its principal offices at Indian Institute of Technology, Kharagpur in the state of West Bengal from which it shall carry out its management and other administrative functions.


ARTICLE II - PURPOSE

Section 1: It shall be the purpose of this organization to provide a forum to bridge the gap between engineering, biology and medicine at the Indian Institute of Technology, Kharagpur.
Section 2: The Club shall provide a means of access to IEEE Engineering in Medicine and Biology Society resources for students, and provide a social setting for networking of students interested in engineering careers in medicine and biology.
Section 3: The Club shall encourage peer-to-peer knowledge transfer and promote networking among students for education.


ARTICLE III - AFFILIATIONS

Section 1: Institution of Electrical and Electronics Engineers Inc.
Section 2: IEEE Engineering in Medicine and Biology Society.
Section 3: Kharagpur Section of Institution of Electrical and Electronics Engineers Inc.


ARTICLE IV - MEMBERSHIP

Section 1: The majority of the membership of this organization shall consist of regularly enrolled undergraduate and graduate students of the Indian Institute of Technology, Kharagpur. Only IEEE voting members who are also with the Engineering in Medicine and Biology Society reserve voting privileges at the club.
Section 2: Non-university students and university staff are allowed to be members of this organization.


ARTICLE V - OFFICERS

Section 1: The elected officers of the Club shall be Student Chair, Secretary and Treasurer.
Section 2: The officers must be members of IEEE and the Engineering in Medicine and Biology Society, and willing to commit time to this organization.
Section 3: Terms of office will be one year beginning on 1 January of every year. The officers for the following year would be elected by 15 November of the current year, and shall remain on probation up to 31 December before taking charge of the office.
Section 4: Any vacancy occurring during the year shall be filled by majority vote of the members with voting rights and the Ex-officio appointed by Kharagpur Section.
Section 5: The duties of the elected officers will be in accordance with the guideline available in the bylaws of IEEE Inc., Engineering in Medicine and Biology Society, and Kharagpur Section of IEEE.


ARTICLE VI - STUDENT ACTIVITIES COMMITTEE

Section 1: The Student Activities Committees of the Club will be as follows:
1. Membership Promotion
2. Communication
3. Education
4. Professional Development
5. WiE Affinity
6. Community Service
7. Social Activities
Section 2: The Chair of each of the committees, will he appointed by the Club Executive Committee, consisting of the Student Chair, Secretary, Treasurer, and the Ex-officio appointed by the Section.
Section 3: Each Committee has a term of one year starting from 1 January.
Section 4: The duties of the Standing Committees will be according to IEEE Bylaws.


ARTICLE VII - MEETINGS

Section 1: Regular meetings of the club shall be held monthly. Any committee member can call a meeting, and other members will be notified by email and meeting invitations.
Section 2: A quorum shall consist of at least 3 voting members.


ARTICLE VIII - EXECUTIVE BOARD

Section 1: Management of this Club shall be vested in the officers of this board.
Section 2: The board shall consist of the three committee members: Student Chair, Secretary and Treasurer.


ARTICLE IX - FINANCES

Section 1: All expenditure of funds must be approved by the Executive Board.
Section 2: Without prior authorization of the Executive Board, funds can only be used for normal operations of the Section.
Section 3: The Treasurer jointly with either the Chair or the Secretary shall be authorized to draw funds as approved by the Executive Board.


ARTICLE X - CONSTITUTIONAL AMENDMENTS

Section 1: Proposal for amendments to these Bylaws may originate in the Executive Board or by a petition signed by 25 or more voting members.
Section 2: The constitution may be amended by a vote of two-third majority voting membership at any regular or special meeting.
